Project work
Website, software, automation and business systems projects are normally agreed in writing before substantive work begins. That may be by email confirmation of a proposal, a statement of work, or another written agreement.
We will agree scope, deliverables, timescales, pricing and any assumptions before starting paid work.
Payment terms
Payment terms will be set out in your proposal or agreement. Unless otherwise agreed:
- A deposit may be required before work starts
- Remaining balances may be due on completion or in agreed stages
- Support or maintenance plans are usually billed monthly in advance
- Late payment may delay further work or support
Prices quoted are in GBP unless stated otherwise. Applicable taxes will be included or added as required.
Client responsibilities
To help projects run smoothly, clients are responsible for:
- Providing accurate information and timely feedback
- Supplying content, branding, logins and approvals when requested
- Ensuring they have rights to any materials they supply
- Reviewing deliverables within agreed timeframes
- Maintaining their own backups of important business data where appropriate
Content supplied by clients
You are responsible for the accuracy, legality and ownership of content you provide — including text, images, logos, testimonials, product information and business data.
You confirm that you have the necessary rights and permissions for us to use that content to deliver the agreed project.
Website development services
Website projects typically include agreed design, build, content structure and launch support as defined in the proposal. Unless specifically included, ongoing content updates, photography, copywriting, paid advertising and third-party subscription costs are not included.
We build websites to work well on modern browsers and devices, but we cannot guarantee compatibility with every legacy system or browser configuration.
Software development services
Software and application work is delivered according to agreed scope. Custom software may rely on third-party libraries, APIs or hosting environments. Changes to those services outside our control may require additional work.
Source code ownership and licensing terms will be set out in the project agreement where relevant.
Business systems and automation projects
Automation and business systems work is designed around the processes described at the start of the project. If your internal processes change significantly, additional work may be needed to adapt the system.
We will explain dependencies on third-party tools such as email providers, form services, payment platforms or CRM systems as part of the proposal.
Hosting and third-party services
Websites and systems may depend on third-party providers such as Vercel, domain registrars, email services, payment processors or external APIs.
Clients are responsible for their own accounts, renewals and fees with those providers unless we explicitly agree to manage them as part of an ongoing support arrangement.
Intellectual property
Unless otherwise agreed in writing:
- We retain ownership of pre-existing materials, tools, frameworks and general know-how used across projects
- On full payment, clients receive the agreed rights to use the delivered website, software or system for its intended business purpose
- Specific licensing or source-code transfer terms may be agreed for custom software projects
We may show completed work in our portfolio unless you ask us not to for reasonable commercial reasons.
Support and maintenance
Ongoing support, updates and maintenance are available where agreed separately. Work outside agreed support scope may be quoted at our standard rates.
We aim to respond to support requests promptly, but response times depend on the nature of the issue and any support plan in place.
Limitation of liability
We work carefully and professionally, but no service can be guaranteed free from interruption or error.
To the fullest extent permitted by law, Nigel Peirce Digital is not liable for indirect or consequential loss, loss of profit, loss of business, loss of data or loss of opportunity arising from use of this website or from services provided, except where liability cannot be excluded by law.
Our total liability for any claim relating to a specific project is limited to the amount paid for that project, unless a different limit is agreed in writing or required by law.
No guarantee of business outcomes
We do not guarantee specific business results. In particular, we do not guarantee:
- Search engine rankings
- SEO performance or visibility
- Website traffic levels
- Revenue increases
- Lead volumes or conversion rates
- Any other specific commercial outcome
Digital work can support your business, but results depend on many factors outside our control — including your market, pricing, offer, competition, content, reviews and wider marketing activity.
Project delays
Timelines depend on timely input from clients. Delays may occur where content, approvals, logins, feedback or other required information is not provided when needed.
If client delays affect delivery, we will discuss revised timescales in good faith.
Changes to services and pricing
We may update our services, packages and standard pricing from time to time. Agreed project pricing will not change retrospectively once confirmed in writing for that project.
Changes to these terms
We may update these terms occasionally. The latest version will always be published on this page with an updated date.
Continued use of the website after changes are published constitutes acceptance of the updated terms, except where applicable law requires otherwise.
Governing law
These terms are governed by the laws of England and Wales. Courts in England and Wales will have jurisdiction, except where mandatory consumer protection rules apply differently.
